Samantha C. Wolfe,Esq. joined the Firm in November of 2021. She is based in the Harrisburg Office and focuses her practice in the areas of business law, bankruptcy, and tax.
In her business law practice, Attorney Wolfe represents entrepreneurs and investors in the formation of business entities for new or existing enterprises. She advises, drafts and negotiates for her clients the legal documents critical to the formation and governance of business entities including Certificates of Organization, Articles of Incorporation, Operating Agreements, Shareholder and Partnership Agreements for limited liability companies, corporations and partnerships. She advises for-profit, non-profit and not-for-profit businesses and their principals, owners, directors and officers on general business governance, as well as advising, negotiating and drafting transactional documents necessary for sales, purchases, mergers, financing, acquisitions and dissolutions, the addition or withdrawal of principals, and resolving disputes between and among business owners. She also advises and represents individuals and businesses in intellectual property matters including obtaining registrations of marks from the United States Patent and Trademark Office.
Although Attorney Wolfe represents businesses in every industry, trade and profession, due to Scaringi Law’s extensive experience in liquor law, Attorney Wolfe represents many businesses involved in the hospitality industry and works closely with Scaringi Law’s liquor license attorney, Frank C. Sluzis, who is a former prosecutor for the Pennsylvania Liquor Control Board, in the representation of every aspect of the transfer of every type of liquor license, including restaurant, hotel, winery, distillery, and distributor. Attorney Wolfe handles the formation, sale, purchase and change of business structure for restaurants, bars, hotels, wineries, distillers, and beer distributorships. Attorney Wolfe also works with the Firm’s real estate attorney in the handling of all real estate matters affecting businesses and individuals. Attorney Wolfe understands the problems that small and mid-sized business owners and managers confront on a daily basis. She appreciates the need these owners and managers have in receiving sound advice on how to manage and lead their own businesses.
Attorney Wolfe also maintains an extensive tax law practice. Attorney Wolfe helps clients navigate through tax preparation, IRS and Department of Revenue extensions, payment plan negotiations, offers and compromises and a host of other personal and business tax services. She helps clients reduce tax debt, successfully navigate tax audits, obtain innocent spouse relief, obtain penalty abatements, file current as well as years of past due tax returns, and bring their tax accounts into compliance as well as litigating disputes with the IRS in the U.S. Tax Court. Attorney Wolfe has considerable experience in negotiating and obtaining for her business clients sales and use tax refunds and property tax appeals for residential and commercial real estate owners.
Prior to joining Scaringi Law, Attorney Wolfe worked at a Harrisburg tax law firm handling sales and use tax refund appeals and property tax appeals at all levels. She successfully argued for over $26,000,000.00 reduction in property value in one case, obtained refunds for sales and use tax refund appeals, collected evidence for sales and use tax refund appeals and assessment appeals, and prepared property tax appeals in multiple counties. She also attended and presented arguments at Board of Revision hearings, drafted appeal petitions, conducted reviews of Department of Revenue audits, research for exempt and immune property, prepared settlement proposals and settlement discussions with opposing counsel from the Department of Revenue and various county Boards of Assessment Revision and Boards of Assessment Appeals.
Attorney Wolfe devotes the majority of her bankruptcy practice to representing individual and business debtors in Chapter 7, Chapter 11, and Chapter 13 cases, but also represents creditors and co-debtors. Ms. Wolfe helps individuals discharge or reorganize debts including home mortgages, medical bills and others so that her clients can save their home from foreclosure, keep their cars and other assets, discharge unsecured debt and emerge largely debt free. She also works to discharge certain difficult debts such as taxes, including personal state and federal income tax debts and avoiding judgment liens on real estate. While most bankruptcy attorneys handle only individual Chapter 7 and 13 cases, Attorney Wolfe also helps businesses reorganize their debt under Chapter 11 or liquidate and dissolve under Chapter 7. Attorney Wolfe also represents bankruptcy debtors and co-debtors in civil actions seeking monetary damages against creditors for violating the bankruptcy stays.
